Terms of Service

These Terms govern your use of SheetsGate. By using the service, you agree to these Terms. If you do not agree, do not use the service.

1. Service Description

SheetsGate provides a hosted MCP service that allows authorized AI clients to access and update your Google Sheets through authenticated endpoints. Drive access is scoped to only the specific spreadsheets you grant via the file picker — no broader Drive access is requested.

2. Eligibility and Account Responsibility

  • You must be legally capable of entering a binding agreement.
  • You are responsible for all activity under your account, including activity by team members and anyone using your MCP tokens.
  • You must keep credentials and tokens confidential and notify us promptly if compromise is suspected.

3. Acceptable Use

You agree not to use the service to:

  • Violate laws, regulations, or third-party rights.
  • Process data you do not have the right to access or share.
  • Attempt unauthorized access, interfere with service operations, bypass limits, or test vulnerabilities without written authorization.
  • Upload or distribute malware, phishing content, or deceptive material.
  • Use the service in high-risk scenarios where errors could cause death, personal injury, or severe property/environmental damage.

4. AI Output and Automation Risk

You are solely responsible for prompts, automations, and actions initiated by your AI clients. You must validate AI-generated outputs before use, including any writes, updates, or deletes to spreadsheets. We are not responsible for losses caused by prompt mistakes, model behavior, or third-party AI client errors.

5. Third-Party Services

The service depends on third-party providers (including Google and AI client platforms). We are not responsible for third-party outages, policy changes, account suspensions, or failures outside our reasonable control.

6. Billing, Plan Limits, and Changes

  • Paid plans are billed in advance on a recurring basis unless canceled.
  • Usage and features are subject to plan limits and rate limits.
  • You authorize us and our payment processor to charge applicable subscription fees, taxes, and renewals.
  • Unless required by law, fees are non-refundable for partial periods, unused time, or downgraded plans.
  • We may change pricing or plan limits with reasonable notice.

7. Suspension and Termination

We may suspend or terminate access immediately if we reasonably determine that:

  • You breach these Terms or applicable law.
  • Your use creates security, legal, or operational risk.
  • Payment obligations are overdue or fraudulent activity is suspected.

We may deactivate tokens, limit functionality, or remove access to protect the service and other users.

8. Intellectual Property

You retain ownership of your content and data. We retain all rights in the service software, infrastructure, and related intellectual property. These Terms do not grant you ownership of the service.

9. Disclaimers

The service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, secure, or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, SheetsGate and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.

To the maximum extent permitted by law, our aggregate liability for all claims arising out of or relating to the service is limited to the amount you paid to us for the service in the three months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless SheetsGate, its operators, and affiliates from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the service, your content, your violation of these Terms, or your violation of any rights of a third party.

12. Changes to Terms

We may update these Terms from time to time. Material updates will be posted on this page with an updated effective date. Continued use after changes means you accept the updated Terms.
